Arm’s-Length Negotiations and Good Faith. The Parties have negotiated all of the terms and conditions of this Agreement at arm’s length. All terms, conditions and exhibits in their exact form are material and necessary to this Agreement and have been relied upon by the parties in entering into this Agreement.

The Parties agree to act in good faith during the settlement administration process.
