Common use of APPROVAL OF LEGISLATIVE BODY Clause in Contracts

APPROVAL OF LEGISLATIVE BODY. This Agreement shall not be binding upon District until District’s Board of Director’s, or its designee, has approved all the terms and conditions contained herein. District shall implement this Agreement through its General Manager. The General Manager is hereby authorized by District to enter into agreements referenced in this Agreement or reasonably required to implement this Agreement on behalf of District, issue approvals, interpretations or waivers and enter into certain amendments to this Agreement on behalf of District to the extent that any such action(s) does/do not increase the monetary obligations of District by more than Fifty Thousand Dollars ($50,000) in the aggregate. All other actions shall require the consideration and approval of the District Board of Directors, unless expressly provided otherwise by action of the District Board of Directors. Nothing in this Section 21 shall restrict the submission to the District Board of Directors of any matter within the General Manager’s authorization under this Section 21, in the General Manager’s sole and absolute discretion, to obtain the District Board of Director’s express and specific authorization on such matter. The specific intent of this Section 21 is to authorize certain actions on behalf of District by the General Manager, but not to require that such actions be taken by the General Manager without consideration by the District Board of Directors.
