The Company Vendors and the Dealer Manager Purchaser hereby appoint the Escrow Agent to serve as escrow agentAgent, and the Escrow Agent hereby accepts such appointment, each to serve as escrow agent to administer the within escrow and to receive, to hold in safe custody and to deliver the Escrowed Shares and all Escrow Amounts in accordance with the terms of this Agreement.

The Company and the Dealer Manager Placement Agent hereby appoint the Escrow Agent to serve as escrow agentagent to act in accordance with the terms and conditions set forth in this Agreement, and the Escrow Agent hereby accepts such appointment, each in accordance with appointment and agrees to establish the Bank Account on the terms of this Agreementand subject to the conditions hereinafter set forth.

Appointment of Escrow Agent. The Company Company, the Trust and the Dealer Manager Placement Agent hereby appoint the Escrow Agent to serve Bankers Trust Company as escrow agentagent in accordance with the terms and conditions set forth herein, and the Escrow Agent hereby accepts such appointment, each in accordance with the terms of this Agreement.

The Company Purchaser Parties and the Dealer Manager Seller Parties hereby appoint the Escrow Agent to serve as escrow agentas, and the Escrow Agent hereby accepts such appointmentagrees to act as, each in accordance with escrow agent and to hold, safeguard and disburse the Escrow Fund pursuant to the terms of this Agreementand conditions hereof.
