Appointment and Assignment. 2.1 Mobilair hereby grants to the Licensee, who accepts, an exclusive royalty-free, perpetual license to use, offer and distribute the Software to Customers solely in the Public Safety Market in the Territory.
2.2 Licensee shall not reverse engineer, decompile, or disassemble the Software or any part of the Software or take any other steps to discover the trade secrets or Confidential Information in the Software, including, without limitation, any internal or graphical user interfaces except as specifically permitted by applicable law and to the extent that Mobilair is not permitted by applicable laws to exclude or limit such right; provided that Licensee may examine the external programming interface of the Software for the purpose of the development or modification of the Software.
2.3 Mobilair hereby undertakes to assign, transfer and convey, from time to time, its titles, rights and interests to the Licensee, who shall acquire same, in certain contracts or agreements entered into between Mobilair and its clients or customers which are listed in Schedule 2.3 attached hereof. Mobilair also hereto covenants and agrees that it shall, from time to time, use its best efforts and execute and deliver such additional documents and instruments and do such acts and things as may be reasonably required for the purposes of giving effect to this assignment of contracts and agreements to the Licensee. The Licensee acknowledges that some consents or approvals shall be required in order that such assignment or transfer of contracts and agreements provided in the Schedule 2.3 be completed. Mobilair neither makes nor grants any warranties that all contracts and agreements provided in Schedule 2.3 will be assigned to the Licensee hereunder. All amounts and payments received by Mobilair regarding all services executed after the date of the present agreement regarding all contracts and agreements provided in Schedule 2.3 shall be paid by Mobilair to the Licensee.
Appointment and Assignment. 1. UC ANR will administer the appointment of the selected UCCE Specialist to a definite, 11- month, career-track position to be located on the UC__ campus. The position will be subject to UC Academic Personnel Policy 334, Specialist in Cooperative Extension Series.
2. Based on the subject-matter expertise of the UCCE Specialist, and with the UC ANR Associate Vice President's agreement, UC__ will assign the position to the appropriate campus by-law unit and/or program. The UCCE Specialist may be eligible to hold a concomitant, 0 percent appointment as Assistant Professional Researcher or similar adjunct appointment. Copies of the initial appointment letter as well as any subsequent reappointment letters shall be shared with UC ANR.
3. The UCCE Specialist position will focus on Cooperative Extension responsibilities. However, in support of the UC ANR – UC__ partnership, the UCCE Specialist will also:
a. Interact with their campus academic colleagues, thereby creating synergies that will advance the programmatic gains of both the UC__ campus and of UC ANR.
b. Interact with UC__ undergraduate and graduate students, deliver occasional lectures, and perform similar academic functions (such as serving on dissertation committees, oral exams, etc.) as appropriate. In accordance with UC Academic Personnel Policy 334, Specialist in Cooperative Extension Series, however, the teaching of regular undergraduate or graduate courses will not be a responsibility of the position.
c. Engage in campus faculty meetings, campus faculty committee service, and other activities of the UC__ faculty as appropriate.
