Analysis of Accounts. The Agent shall have the right at any time to make test verifications of the Accounts in any manner and through any medium that it considers reasonably advisable, and the Pledgor shall furnish all such assistance and information as the Agent may reasonably require in connection with such test verifications. At any time and from time to time upon the occurrence and during the continuance of an Event of Default, upon the Agent's reasonable request and at the expense of the Pledgor, the Pledgor shall cause independent public accountants or others satisfactory to the Agent to furnish to the Agent reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts. Upon the occurrence and during the continuance of an Event of Default, the Agent in its own name or in the name of others may communicate with account debtors on the Accounts to verify with them to the Agent's reasonable satisfaction the existence, amount and terms of any Accounts.

The Secured Party shall have the right to make test verifications of the Accounts in any manner and through any medium that it reasonably considers advisable, and the Debtor shall furnish all such assistance and information as the Secured Party may require in connection therewith. At any time and from time to time, upon the Secured Party’s request and at the expense of the Debtor, the Debtor shall cause independent public accountants or others satisfactory to the Secured Party to furnish to the Secured Party reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts.

At any time and from time to time upon the occurrence and during the continuance of an Event of Default, upon the Senior Collateral Agent's reasonable request and at the expense of each Grantor, each Grantor shall immediately request and use commercially reasonable efforts to cause independent public accountants or others reasonably satisfactory to the Senior Collateral Agent to furnish to the Senior Collateral Agent reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts. Upon the occurrence and during the continuance of an Event of Default, the Senior Collateral Agent in its own name or in the name of others may communicate with Account Debtors on the Accounts to verify with them to the Senior Collateral Agent's reasonable satisfaction the existence, amount and terms of any Accounts and to direct all payments to the Senior Collateral Agent. To the extent reasonably practicable the Senior Collateral Agent will seek to take such actions through third parties.

The Administrative Agent shall have the right to make test verifications of the Accounts in any manner and through any medium that it reasonably considers advisable, and the Borrower shall furnish all such assistance and information as the Administrative Agent may require in connection therewith; PROVIDED that the Administrative Agent shall use its reasonable efforts to minimize any disruption of the Borrower's business resulting from such verifications. At any time and from time to time if the Administrative Agent concludes in its reasonable judgment, based upon its evaluation of the general creditworthiness of the Borrower, that such examination is required, and so requests, the Borrower at its own expense shall cause independent public accountants or other parties that are not Affiliates of the Borrower and are reasonably satisfactory to the Administrative Agent to furnish to the Administrative Agent reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts. Unless an Event of Default shall have occurred and be continuing, the Administrative Agent shall not exercise its right under this clause (d) more than once in any 12-month period.

At any time and from time to time, upon the Secured Party's request and at the expense of the Pledgor, the Pledgor shall furnish to the Secured Party reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts.

At any time and from time to time if the Agent concludes in its reasonable judgment, based upon its evaluation of the general creditworthiness of the Grantor, that such examination is required, and so requests, the Grantor shall, at the Grantor's expense if at any time after the occurrence and during the continuance of an Event of Default, and otherwise at the Agent's expense, cause independent public accountants or other parties that are not Affiliates of the Grantor and are satisfactory to the Agent to furnish to the Agent reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts.

At any time and from time to time, the Administrative Agent shall have the right to analyze and verify the Accounts of the Borrower in any manner and through any medium that it reasonably considers advisable, and the Borrower shall furnish all such assistance and information as the Administrative Agent may require in connection therewith. At any time and from time to time, upon the Administrative Agent's reasonable request and at the expense of the Borrower, the Borrower shall furnish to the Administrative Agent reports showing reconciliations, aging and test verifications of, and trial balances for, its Accounts.
