Common use of Analysis of Accounts Clause in Contracts

Analysis of Accounts. The Administrative Agent shall have the right to make test verifications of the Accounts in any manner and through any medium that it reasonably considers advisable, and the Borrower shall furnish all such assistance and information as the Administrative Agent may require in connection therewith; PROVIDED that the Administrative Agent shall use its reasonable efforts to minimize any disruption of the Borrower's business resulting from such verifications. At any time and from time to time if the Administrative Agent concludes in its reasonable judgment, based upon its evaluation of the general creditworthiness of the Borrower, that such examination is required, and so requests, the Borrower at its own expense shall cause independent public accountants or other parties that are not Affiliates of the Borrower and are reasonably satisfactory to the Administrative Agent to furnish to the Administrative Agent reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts. Unless an Event of Default shall have occurred and be continuing, the Administrative Agent shall not exercise its right under this clause (d) more than once in any 12-month period.

At any time and from time to time if the Administrative Agent concludes in its reasonable judgment, based upon its evaluation of the general creditworthiness of the BorrowerGrantor, that such examination is required, and so requests, the Borrower Grantor at its own expense shall cause independent public accountants or other parties that are not Affiliates of the Borrower Grantor and are reasonably satisfactory to the Administrative Agent to furnish to the Administrative Agent reports showing reconciliations, aging and test verifications of, and trial balances for, the Accounts. Unless an Event of Default shall have occurred and be continuing, the Administrative Agent shall not exercise its right under this clause (d) more than once in any 12-month period.
