Amendment to License Agreement. The License Agreement is hereby modified as follows:
Amendment to License Agreement. (Zoledronic Acid) This First Amendment to License Agreement (“Amendment”) dated August 21, 2015 (the “Effective Date”) is between ANTECIP BIOVENTURES II LLC, a limited liability company formed under the laws of Delaware, having its principal place of business at 000 Xxxxx Xxxxxx Xxxxx 0000, Xxx Xxxx, XX 00000 (herein called “Antecip”) and AXSOME THERAPEUTICS, INC., a corporation incorporated under the laws of Delaware, having its principal place of business at 00 Xxxxxxxx, 0xx Xxxxx, Xxx Xxxx, XX 00000 (herein called “Axsome”) (referred to collectively herein as the “Parties”).
Amendment to License Agreement. Sublicensor covenants that it shall not amend, modify, waive or terminate any aspect of the License Agreement or rights available thereunder in a manner that may impact Sublicensee without Sublicensee’s prior written consent, other than for a breach of the License Agreement or the Sublicense Agreement by Sublicensee, or for reasons outlined in 6.2 (a) below, such consent not to be unreasonably withheld.
Amendment to License Agreement. The License Agreement shall be amended in form and substance satisfactory to the Parent in the form attached hereto as Exhibit C (the “License Agreement Amendment”).
Amendment to License Agreement. Effective as of March 1, 2005, the definitions of “TCRL” and “TCRL Compound” in the License Agreement shall be deleted and replaced by the following:
Amendment to License Agreement. Amendment No. 2 to the License Agreement, dated as of November 16, 2001, as amended (by Amendment No. 1 to License Agreement dated March 3, 2003), by and among Pharmion GmbH, the Company and the Purchaser, substantially in the form set forth on Exhibit G, shall have been executed and delivered by each of the parties thereto and be in full force and effect.
Amendment to License Agreement. (a) Section 1.29 of the Original License Agreement is revised to replace the word “compounds” with the word “compound” and to delete the words “BT-11 and” on line 1 thereof.
Amendment to License Agreement. 1.1 Amendment of Section 3.2(a). Section 3.2(a) of the License Agreement shall be amended to eliminate any requirement for Xxxxxx to make the Minimum Royalty Payment and to read in its entirety as set forth below:
Amendment to License Agreement. L.P. shall have received from Seller a executed Amendment to the Technology and Software License Agreement, dated December 9, 1997, between the L.P. and Seller in the form of Exhibit D, attached hereto.
Amendment to License Agreement. Effective as of the date hereof, Section 5 of the License Agreement is hereby amended by changing the date “March 31, 2007” set forth in subsection (a) thereof to “March 31, 2009.”
