Common use of Alliance Managers Clause in Contracts

Alliance Managers. Promptly after the Effective Date, each Party shall appoint an individual (other than an existing member of the JSC) to act as the alliance manager for such Party (each, an “Alliance Manager”). Each Alliance Manager shall thereafter be permitted to attend meetings of any Committee as a nonvoting observer. The Alliance Managers shall be the primary point of contact for the Parties regarding the Collaboration activities contemplated by this Agreement and shall facilitate communication regarding all activities hereunder. The Alliance Managers shall lead the communications between the Parties and shall be responsible for following-up on decisions made by the JSC. The name and contact information for such Alliance Manager, as well as any replacement(s) chosen by Orexigen or Takeda, in their sole discretion, from time to time, shall be promptly provided to the other Party in accordance with Section 14.3.

The Alliance Managers shall lead the facilitating communications between the Parties and shall be responsible for following-up on decisions made by the JSCParties. The name and contact information for each Alliance Manager shall be designated by each Party at the time such Alliance Manager, as well as any replacement(s) chosen by Orexigen or TakedaParty designates its representatives to the JSC. Either Party may, in their its sole discretion, discretion from time to time, shall be promptly provided replace its designated Alliance Manager upon written notice to the other Party in accordance with Section 14.3Party.
