Agreement to be Governed by California Law. This AGREEMENT shall be governed by and construed in accordance with the internal laws of the State of California applicable to contracts entered into and wholly performed within said state. Any action filed respecting the Parties’ rights or liabilities under or in connection with this Agreement must be filed in the County of Los Angeles, State of California. Should any such action be filed, the Parties agree to submit to the jurisdiction of the Court in which the lawsuit is filed and that service can be effected by mail to the addresses set forth in paragraph 9.12 of this AGREEMENT.

Any waiver by any party must be in writing and signed by such Party and shall be effective only for the purpose and in the specific instance for which it is given.

  • Interpretation and Governing Law This Agreement and any dispute arising hereunder shall be governed and interpreted in accordance with the laws of the State of California.
