Common use of Administrative Staff Clause in Contracts

Administrative Staff. The Fund hereby agrees, and agrees to cause their affiliated companies (including the Investment Advisor) to agree, to refrain from hiring any employees of BNYM-AIS during the term of this Agreement and for a period of one (1) year after the termination date of this Agreement. Should the Fund, or any of their affiliated companies (including the Investment Advisor), hire any such employee during the stated time period, the Fund, or any of their affiliated companies (including the Investment Advisor), hereby agree to compensate BNYM-AIS in an amount equivalent to the hired employee’s annual salary to cover the cost of recruiting, hiring, and training a replacement employee.

The Fund hereby agrees, and agrees to cause their refrain and to request that its affiliated companies (including the Investment AdvisorAdviser) to agree, to refrain from knowingly hiring any employees of BNYM-AIS BNYM during the term of this Agreement and for a period of one (1) year after the termination date of this Agreement. Should the Fund, or any of their its affiliated companies (including the Investment AdvisorAdviser), knowingly hire any such employee during the stated time period, the Fund, or any of their its affiliated companies (including the Investment AdvisorAdviser), hereby agree agrees to compensate BNYM-AIS BNYM in an amount equivalent to the hired employee’s 's annual salary to cover the cost of recruiting, hiring, and training a replacement employee.
