Adjustments to the Exchange Rate. (A) Events Requiring an Adjustment to the Exchange Rate. The Exchange Rate will be adjusted from time to time as follows:

The Exchange Rate shall be adjusted from time to time as described in this Section 12.05, except that no adjustment to the Exchange Rate will be made for any Holder that participates (as a result of holding the Notes, and at the same time as the holders of the shares of Common Stock participate) in any of the transactions described below (other than in the case of a Common Stock split or Common Stock combination or a tender or exchange offer), as if such Holder held, for each $1,000 principal amount of Notes held, a number of shares of Common Stock equal to the Exchange Rate, without having to exchange its Notes.
Adjustments to the Exchange Rate. The Exchange Rate shall be subject to adjustment from time to time as provided below in this paragraph (d).
