Common use of Additional Prohibitions Clause in Contracts

Additional Prohibitions. Vendor certifies that it shall not, and will not knowingly, after reasonable inquiry, subcontract with, any of the following: (a) Persons employed by the County or by any public agency for which the Board of Supervisors of the County of Orange is the governing body; (b) Profit-making or businesses in which employees described in sub-section (a) serve as officers, principles, or major shareholders (c) Persons who, within the immediately-preceding twelve (12) months came within the provisions of paragraphs (a) or (b) and who (i) were employed in positions of substantial responsibility in the area of service to be performed under this Agreement, or (ii) participated in my way in developing this Agreement or its service specifications; and (d) Profit-making or businesses in which the former employees described in paragraph (c) serve as officers, principals, partners, or major shareholders.
