Additional Condition to Obligations of Seller and Purchaser. The obligations of each of Seller and Purchaser hereunder to consummate the Transaction shall be subject to the fulfillment, on or before the Closing, of the additional condition that, if the Rexam Transaction is implemented by way of a Scheme, the Scheme becomes effective in accordance with its terms or if the Rexam Transaction is implemented by way of an Offer, the Offer becomes or is declared unconditional in all respects.
