Active Management Sample Clauses

The Active Management clause defines the responsibility and authority of a party, typically an investment manager or service provider, to actively oversee and make decisions regarding the management of assets or operations. In practice, this clause allows the designated party to make ongoing adjustments, such as reallocating investments, selecting vendors, or implementing strategies, in response to changing market conditions or performance objectives. Its core function is to ensure that the managed assets or operations are continuously optimized, addressing the need for flexibility and responsiveness rather than passive oversight.
Active Management. This section details the specific management activities that will be undertaken over a period of 10 years to improve and maintain the condition of the native vegetation within the SEB Area. The 10 year active management period commences upon the execution of this agreement.
Active Management. If the Firm exercises any of its powers under clause 27.2 (Additional powers on termination of the Agreement) or clause 27.3 (Additional powers on termination of a Clearing Service) to terminate or close out any Transactions, the Firm shall be entitled to determine the resultant amount (if any) owed by the Firm or the Client in relation to those Transactions. The Client agrees that, for these purposes, the Firm is entitled to take into account any Losses realised in closing out any Firm/CCP or CM/Firm Transactions or settling or concluding outstanding obligations incurred by the Firm on the Client's behalf. The Firm's rights under this clause 27.4 (Active management) apply separately to each Transaction and the Firm does not need to account for a single amount payable by the Firm or the Client in respect of all Transactions. Any account for payment in relation to closed- out or terminated Transactions will not prejudice the Firm's surviving rights in relation to Transactions which have not been closed out or terminated (including the Firm's right to charge amounts under clause 28.4 (Charges), to demand amounts under applicable indemnities and to make margin calls in respect of those Transactions).
Active Management. Distributor’s management will participate actively in planning and enhancement programs for the distributorship as opportunities to do so arise, or may be recommended by ExxonMobil, such as: (i) preparing the Distributor business plan; (ii) preparing the Distributor sales and marketing plan; (iii) preparing the Distributor periodic business review; (iv) preparing other planning tools and programs, including preparation of BCPs, succession plans, and acquisition plans; (v) attending periodic meetings with ExxonMobil personnel to discuss ExxonMobil’s marketing philosophy, policies and programs, which at ExxonMobil’s sole determination may be in person, via telephone, electronic means or other media; (vi) providing input into and active feedback on key distributor performance and sales indicators for use in distributor development, distributor network development planning, effective market coverage analysis, ExxonMobil Marketing Support Programs via active participation in the region networks through involvement in the National Lubricants Distributor Advisory Board (“NLDAB”) work teams, surveys that ExxonMobil may sent to Distributor and other diagnostic tools that ExxonMobil may deem appropriate; and (vii) participating in annual analytical studies to assist ExxonMobil in the development of ExxonMobil’s distribution network and measurement of its success, through, but not limited to, the annual Performance Analysis Report (“PAR”) survey or its successor, and distributor customer satisfaction surveys.
Active Management. Distributor’s management will participate actively in planning and enhancement programs for the distributorship as opportunities to do so arise, or as may be recommended by ExxonMobil, such as, by way of example: (1) preparing the Distributor’s business plan; (2) preparing the Distributor’s sales and marketing plan; (3) preparing the Distributor’s periodic business review; (4) preparing other planning tools and programs, including preparation of Business Continuity Plans, and acquisition plans; (5) having its sales personnel attend, with ExxonMobil’s representatives, ExxonMobil and Third Party meetings and Training sessions, which at ExxonMobil’s sole discretion may be in person, via telephone, electronic means or other media; (6) attending periodic meetings with ExxonMobil personnel to discuss ExxonMobil’s marketing philosophy, policies and programs, which at ExxonMobil’s sole determination may be in person, via telephone, electronic means or other media; (7) providing input for key sales indicators and other diagnostic tools; (8) providing monthly reports on customer and volume gains and losses, or other reporting requirements that ExxonMobil may determine for the purpose of forecasting future Product or Supply Product demand; and (9) participating in analytical studies to assist ExxonMobil in the development of ExxonMobil’s distribution network and measurement of its success, through, e.g., performance analysis report surveys and distributor customer satisfaction surveys.

This agreement describes the benefits, exclusions, conditions and limitations provided under your plan. It shall be construed under and shall be governed by the applicable laws and regulations of the State of Rhode Island and federal law as amended from time to time. It replaces any agreement previously issued to you. If this agreement changes, an amendment or new agreement will be provided.
