Accountant Letter. Parent shall have received, in form and substance reasonably satisfactory to Parent, from Ernst & Young LLP the “comfort” letter described in Section 6.5(a).
Accountant Letter. API shall have received a copy of a letter from Deloitte & Touche LLP, which shall be in form and substance reasonably satisfactory to API and shall contain information concerning the financial condition of ZERO, dated the Closing Date, similar to the letter described in Section 3.10 of this Agreement.

Accountant Letter. Wisconsin Energy shall have received a copy of a ----------------- letter from Xxxxxx Xxxxxxxx LLP, which shall be in form and substance reasonably satisfactory to Wisconsin Energy and shall contain information concerning the financial condition of WICOR, dated the Closing Date, similar to the letter described in Section 3.10 of this Agreement.
Accountant Letter. The Company's Accountant shall have consented in writing to allowing the Buyer's accountants to rely upon their reports for the purposes of any reports that Buyer is required to file with the SEC and to provide Buyer and its accountants access to their working papers relating to the Company.
Accountant Letter. Infohiway will deliver to RMI and Subsidiary on or before the Closing Date an Accountants' Compilation Report from Xxxx X. Xxxxxx & Associates, P.C . stating that with respect to the compiled financial statements for the calendar year 1997, the financial statements have been compiled in accordance with Statements on Standards for Accounting and Review Services issued by the American Institute of Certified Public Accountants. The financial Statements have been prepared on the cash basis of accounting, which is a comprehensive basis of accounting other than generally accepted accounting principles. The Infohiway Inc. accountant's compilation report shall be satisfactory to RMI and Subsidiary in form and substance.

Plexus shall have received a copy of a letter from Ernst & Young LLP, which shall be in form and substance reasonably satisfactory to Plexus and shall contain information concerning the financial condition of SeaMED, dated the Closing Date, similar to the letter described in Section 3.10 of this Agreement.

SeaMED shall have received a copy of a letter from PricewaterhouseCoopers LLP, which shall be in form and substance reasonably satisfactory to SeaMED and shall contain information concerning the financial condition of Plexus, dated the Closing Date, similar to the letter described in Section 3.11 of this Agreement.
