Absence of Labor Dispute. No labor problem or dispute with the employees of the Company, the Operating Partnership or any of the Subsidiaries exists or, to the knowledge of the Company and the Operating Partnership, is imminent, that would have, individually or in the aggregate, a Material Adverse Effect, except as set forth in or contemplated in the Registration Statement and the Prospectus.

Absence of Labor Dispute. No labor problem or dispute with the employees of the Company, Company or the Operating Partnership or any of the Subsidiaries subsidiaries exists or, to the knowledge of the Company and the Operating PartnershipCompany, is threatened or imminent, that would have, individually or in the aggregate, have a Material Adverse Effect, except as set forth in or contemplated in the Registration Statement and the Prospectus.
