Absence of Approvals Required. Relying upon the Corporation's representations and warranties with respect to the Investment Canada Act and the Competition Act as set out in subsection 3.1(b) of this Agreement, no authorization, approval, order, license, permit or consent of any governmental authority, regulatory body or court, and no registration, declaration or filing by ATI with any such governmental authority, regulatory body or court is required in order for ATI:

No authorization, approval, order, licence, permit or consent of any Governmental Entity or other Person, authority, regulatory body or agency, including any governmental department, commission, bureau, board or administrative agency or court, and no registration, declaration or filing by the Vendor or the Target with any such Governmental Entity, Person, regulatory body or agency or court is required in order for the Vendor and the Target:
Absence of Approvals Required. There are no waivers, consents, notices or approvals required to be given or obtained by the Target in connection with the Transaction and the other transactions contemplated by this Agreement.

No authorization, approval, order, license, permit or consent of any Governmental Body and no registration, declaration or filing by 251 Ontario with any such Governmental Body is required to be obtained by 251 Ontario in order to consummate the transactions contemplated hereunder, to execute and deliver all of the documents and instruments to be delivered by 251 Ontario under this Agreement, to duly perform and observe the terms and provisions of this Agreement, or to render this Agreement legal, valid, binding and enforceable.
Absence of Approvals Required other than the acceptance for filing of this Agreement by the Exchange, no authorization, approval, order, license, permit or consent of any governmental authority, regulatory body or agency, including any governmental department, commission, bureau, board or administrative agency or court, and no registration, declaration or filing by Purchaser with any such governmental authority, regulatory body or agency or court is required in connection with the execution, delivery or performance of this Agreement by Purchaser or the purchase of the Claims;

Relying upon the Purchaser's representations and warranties with respect to the Investment Canada Act and the Competition Act as set forth in subsections 3.1.4 and 3.1.5, no authorization, approval, order, license, permit or consent of any Governmental Authority or court, and no registration, declaration or filing by the Vendor or the Company with any such Governmental Authority or court is required in order for the Vendor:
Absence of Approvals Required. No authorization, approval, order, license, permit or consent of any Governmental Body and no registration, declaration or filing by Silo Wellness with any such Governmental Body is required to be obtained by Silo Wellness in order to consummate the transactions contemplated hereunder, to execute and deliver all of the documents and instruments to be delivered by Silo Wellness under this Agreement, to duly perform and observe the terms and provisions of this Agreement, or to render this Agreement legal, valid, binding and enforceable.
Absence of Approvals Required. No authorization, approval, order, license, permit or consent of any Governmental Body and no registration, declaration or filing by TripSitter with any such Governmental Body is required to be obtained TripSitter in order to consummate the transactions contemplated hereunder, to execute and deliver all of the documents and instruments to be delivered by TripSitter under this Agreement, to duly perform and observe the terms and provisions of this Agreement, or to render this Agreement legal, valid, binding and enforceable.
