Certain Qualifying Terminations of Employment. If Executive’s Separation from Service occurs by reason of the termination of Executive’s employment (i) by the Company without Cause or (ii) by Executive due to, without Executive’s consent, (x) a material diminution in Executive’s authority or responsibilities (including a material adverse change in Executive’s reporting line) or (y) a material change in the geographic location at which Executive must perform his duties other than reasonably required travel on the Company’s business (for purposes of this provision, a “material change” shall not include a relocation of the Company’s headquarters to a location within fifty (50) miles of Philadelphia, Pennsylvania), in each case, Executive shall be entitled to receive, in lieu of any severance benefits to which Executive may otherwise be entitled under any severance plan or program of Company, the benefits provided below:

  • Qualifying Termination of Employment A “Qualifying Termination of Employment” shall mean a termination of Executive’s employment during the Protected Period either (a) by the Company other than for Cause or (b) by Executive for a Good Reason. A termination of employment due to the Executive’s death or Disability during the Protected Period shall not constitute a Qualifying Termination of Employment.
