Authorized Users means employees and contractors (or Service Providers) of Your company or organization, employees and contractors of Your Permitted Entity, or if You are a hospital, the term “Authorized Users” also includes credentialed physicians, referring physicians and clinicians. For clarity, You may request, and Apple may approve, in its sole discretion, other similar users to be included as “Authorized Users”; however, no other parties shall be included in this definition without Apple’s prior written consent.
Authorized Users means Customer’s employees or contractors duly authorized by Customer to use the Software Product in accordance with the Agreement.
Authorized Users means Customer’s: (I) employees, and (II) contractors working on Customer’s premises who are not competitors of MSC and have agreed in writing to use restrictions and confidentiality obligations no less restrictive than those set forth in this Agreement. Customer shall at all times be responsible for its Authorized Users’ compliance with this Agreement.

Examples of Authorized Users in a sentence

  • If Client executes the applicable Order Form and/or SOW on behalf of itself and its Affiliate(s), then Client shall be responsible for ensuring compliance with this Agreement by itself, Client’s Affiliate(s), its Authorized Users, and the Authorized Users of Client’s Affiliates.

  • You acknowledge and agree that You may not be able to access the Service upon expiration or termination of this Agreement and that Apple reserves the right to suspend access to or delete data or information that You, Your Administrators, Authorized Users, or Permitted Entities have stored through Your use of the Service.

  • Nextlane undertakes to provide training to Authorized Users, it being understood that training sessions are limited to Nextlane’s Software Products only (training does not include training on third party products, where relevant).

  • When the Software license is terminated, Customer and its Authorized Users shall cease all use of the applicable Software Product(s) on the effective date of termination.

  • Institution agrees to use the Server Token only for purposes of enrolling Institution’s MDM Server into the Service and uploading Device Enrollment Settings that will be sent to Authorized Devices when they are initially activated by Authorized Users.

  • Subject to the payment of Support and Maintenance Charges or Subscription Charges by Customer, Nextlane shall provide Authorized Users support service as further described in Support and Maintenance Terms and: (i) identify the causes of Incidents; (ii) provide and implement corrections; (iii) where applicable and if necessary, set up a workaround solution until the Incident is definitively corrected and (iv) make a Release available to the Customer during the Term of the Agreement.

  • If You purchase Content as part of the Service, You agree that You have the authority to and will accept such applicable terms on behalf of Your Authorized Users.

  • In consideration of the payment of the applicable Charges by the Customer pursuant to Section 8.2, Nextlane grants the Customer (including its Authorized Users) a non- exclusive, non-transferable right to use the Software Product, for the Term, Quantities and Units set forth in the Quote and subject to any additional conditions and limits set forth in Product Specific Terms (if any).

  • Software licensed under a Nodelock License may only be accessed or used by Authorized Users who are at the Installation Site.

  • If the Account Holder and/or Authorized User(s) conducts foreign currency transactions, transactions shall be converted into Canadian dollars at the exchange rate in effect at the time of the transaction is processed, plus the conversion rate for converting foreign currency transactions, at the rate stated in this Agreement.

Authorized Users. “ means Customer’s: (i) employee(s), and (ii) contractor(s) working on Customer’s premises who are not competitors of MSC and have agreed in writing to use restrictions and confidentiality obligations no less restrictive than those set forth in this Agreement. Customer shall at all times be responsible for its Authorized User(s)’ compliance with this Agreement. 2.2 “Customer” means the entity identified in MSC’s quotations, Order Schedule or Order Confirmation as the “Customer”. 2.3 “Company-Internal Users” are those Users of the Software who have an employment relationship with the Customer. 2.4 “Company-External Users” are all other Users of the Software who use the computer capacity of the Customer without having an employment relationship with the Customer or a company which the Customer controls by way of majority ownership. For these Users, separate provisions in addition to this Master Agreement shall apply which are provided in the Order Schedule or the Order Confirmation of MSC. In particular, the fees and the terms of payment for the use of the Software by Company-External Users shall be determined in accordance with the Order Schedule or the Order Confirmation of MSC.
Authorized Users means employees of Client and/or Client’s Affiliates or Divisional Affiliates, as applicable, who must access a Product solely to help Client use the Product for its licensed purpose. Client assumes full liability and responsibility for the acts and omissions of its Authorized Users and will take all reasonable steps to ensure that no unauthorized persons shall have access to the Product. 2.1.2 “Client License” means a type of license that allows the Authorized Users (number specified on the Order Form, if applicable) of Client (as of the effective date of the license) to access the Product. A Client License does not include the right to allow use by Authorized Users of Client’s Affiliates. 2.1.3 “Enterprise-Wide License” means a type of license that allows the Authorized Users (number specified on the Order Form, if applicable) of Client and Client Affiliates (as of the effective date of the license) to access the Product. 2.1.4 “Divisional License” means a type of license that allows the Authorized Users (number specified on the Order Form, if applicable) of Client and Divisional Affiliates (as of the effective date of the license) to access the Product. 2.1.1 « Utilisateur(s) Autorisé(s) » désigne les salariés du Client et/ou ses Sociétés Affiliées, et/ou Affiliés Divisionnaires quand applicable, ayant besoin d'accéder à un Produit aux seules fins d’assister le Client dans son utilisation du Produit dans le respect des licences concédées. Authorized Users means employees of Client and, as applicable, Client’s suppliers who must access the TraQtion System solely to help Client use the TraQtion System for its licensed purpose. Client assumes full liability and responsibility for the acts and omissions of its Authorized Users and will take all reasonable steps to ensure that no unauthorized persons shall have access to the TraQtion System. Client shall indemnify, defend and hold NSF harmless for any claims or damages from Authorized User’s access or use of the TraQtion System.
