The authorized capital stock of the Company consists of 750 shares of common stock, par value $0.10 per share, of which 100 shares are validly issued and outstanding, fully paid and nonassessable (the “Company Shares”) and the authorized capital stock of WLM consists of 750 shares of capital stock, of which 100 shares are validly issued and outstanding, fully paid and nonassessable (the “WLM Shares” and, collectively with the Company Shares, the “Subsidiary Shares”).
