Vendor Offer definition

Vendor Offer has the meaning set out in Section 8.1(a).
Vendor Offer means the Initial Offer. If State did request a Revised Offer but not a Best and Final Offer, then “Accepted Offer” means the latest Revised Offer. If State requested a Best and Final Offer, then “Accepted Offer” means the latest Best and Final Offer.

  • The pricing and terms described in Vendor Offer are considered firm and may only be adjusted if Vendor can satisfactorily demonstrate that a Participant’s prospective project differs significantly from the detailed list of project includes, excludes, assumptions, and specifications detailed in the RFP and listed in Appendix C.

  • Vendor Offer will be available to any Participant through December 31, 2016 (the “Vendor Offer Deadline”), pursuant to the REAP Participant Action process described below in this RMC.

Related to Vendor Offer

  • Superior Offer Superior Offer" shall mean an unsolicited, bona fide written offer made by a third party to purchase more than 50% of the outstanding shares of Company Common Stock on terms that the board of directors of the Company determines, in its reasonable judgment, based upon the written advice of its financial advisor, to be more favorable to the Company's shareholders than the terms of the Merger; provided, however, that any such offer shall not be deemed to be a "Superior Offer" if any financing required to consummate the transaction contemplated by such offer is not committed and is not likely to be obtained by such third party on a timely basis.

  • Third Party Offer has the meaning set out in Section 6.4;

  • Responsive Bidder or Offeror means a person who submits a bid or proposal which conforms in all material respects to the invitation for bids or request for proposals.

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Independent Software Vendor or “ISV” means a Person that makes available to Participants and Authorized Traders a system or platform offering smart order routing, front-end trading applications, an aggregation platform or a combination of the foregoing but that does not provide Participants or Authorized Traders with the ability to effect transactions other than through the Trading System.
