Twangiza Holdcos means together, Banro Group (Barbados) Limited and Twangiza (Barbados) Limited.
Holdco has the meaning set forth in the Preamble.
Topco has the meaning set out in the Preamble;
CMBI means Chase Manhattan Bank International, an indirect wholly-owned subsidiary of Bank, located in Moscow, Russia, and any nominee companies appointed by it.
Subco means 1102209 B.C. LTD., a corporation incorporated under the laws of the Province of British Columbia;
Acquisition Subsidiary shall have the meaning set forth in the Preamble.
Newco has the meaning set forth in the first paragraph of this Agreement.
Portugal means the territory of the Portuguese Republic situated in the European Continent, the Archipelagoes of Azores and Madeira, the respective territorial sea and any other zone in which, according to Portuguese and International Law, the Portuguese Republic has:
SBS means the New York City Department of Small Business Services.
Asia means Australia, China, Hong Kong, India, Indonesia, Japan, Korea, Macau, Malaysia, New Zealand, Philippines, Singapore, Taiwan, and Thailand.
Bidco means a business and industrial development company licensed under this act. The term includes a business development enterprise.
Crown means the government of the United Kingdom (including the Northern Ireland Assembly and Executive Committee, the Scottish Executive and the National Assembly for Wales), including, but not limited to, government ministers and government departments and particular bodies, persons, commissions or agencies from time to time carrying out functions on its behalf;
ESMA means the European Securities and Markets Authority;
OpCo has the meaning set forth in the Preamble.
Acquireco means 2620756 Ontario Inc., a wholly-owned subsidiary of the Corporation incorporated under the OBCA for the purpose of carrying out the Amalgamation.
CCA means the Connecting Care Act, 2019, and the regulations under it, as it and they may be amended from time to time;
RSC means the Regional Security Coordinator(s) (RSC(s)) appointed for CCR Hansa, unless it is explicitly otherwise stated, according to Article 77(1)(a) of the SO Regulation that will perform the tasks allocated to this(these) RSC(s) according to Article 77(1)(c)(i) of the SO Regulation;
Blocker has the meaning set forth in the preamble.
BVI means the British Virgin Islands;
Acquisition Corp. shall have the meaning given to such term in the preamble to this Agreement.
IOSCO means the International Organisation of Securities Commissions.
