Each Advance shall consist of a Tranche A Portion, a Tranche B Portion and a Tranche C Portion.
For accounting purposes, the Tranche A Portion and Tranche B Portion of each Advance shall constitute debt and the Tranche C Portion shall constitute equity.
Lessor shall share each payment applied to the Interest Component of Base Rent under a Facility among the Participants which funded the Outstanding Lease Amount under such Facility pro rata within the Tranche A Portion, Tranche B Portion and the Tranche C Portion, respectively, according to (i) the respective Outstanding Participation Amounts so funded by such Participants and (ii) the dates on which such Participants so funded such amounts.
Subject to Section 3.03, each Borrowing shall be comprised entirely of ABR Loans or Eurodollar Loans as the Borrower may request in accordance herewith; provided that Loans shall first be allocated to the Tranche A Portion until it is fully utilized; thereafter, Loans shall be allocated to the Tranche B Portion.
Any optional reduction of the Tranche A Portion or the Tranche B Portion shall be permanent.
Notwithstanding the foregoing, the Present Value, the Borrowing Base and the Tranche A Portion may be subject to further adjustments from time to time pursuant to Section 8.13(c), Section 9.02(i) or Section 9.12.
At each Redetermination Date prior to the Tranche B Termination Date, the Borrowing Base shall consist of two portions: the Tranche A Portion and the Tranche B Portion, which Tranche A Portion shall be determined in accordance with this Section 2.07 and which Tranche B Portion shall be reduced as provided in Sections 2.07(e), (f) and (g).
Subject to the terms and conditions set forth herein, each Lender agrees to make Loans to the Borrower during the Availability Period in an aggregate principal amount that will not result in (a) such Lender’s Credit Exposure exceeding such Lender’s Commitment, (b) the total Credit Exposures exceeding the total Commitments or (c) either the aggregate Tranche A Credit Exposures exceeding the Tranche A Portion or the Tranche B Loans exceeding the Tranche B Portion.
To the extent the Total Commitment Amount is not reduced to zero pursuant to the foregoing sentence, any reduction of the Total Commitment Amount shall be applied equally between the Tranche A Commitment Amount and the Tranche B Commitment Amount and also rateably among the Lenders' Commitment Amounts (Tranche A Portion) and/or their Commitment Amounts (Tranche B Portion).
Each Participant's Proportionate Share of the Acquisition Advance shall consist of such Participant's Tranche A Portion and Tranche B Portion.
