For purposes hereof, the Annualized Consolidated EBITDA of Supercanal shall be determined by reference to the financial statements delivered to the Administrative Agent pursuant to Section 7.1(i) hereof (or, if no such financial statements have been delivered pursuant to such Section, by reference to the financial statements delivered pursuant to the credit documents for the Syndicated Facilities or such other financial statements as shall be acceptable to the Administrative Agent).
