  • On the date of any such redemption, conversion or exchange, the Depositary shall surrender the certificate or certificates held by the Depositary evidencing the number of shares of Stock to be redeemed, converted or exchanged in the manner specified in the notice of redemption, conversion or exchange of Stock provided by the Company pursuant to the Supplemental Charter.

  • All payments of Supplemental Charter Hire payable to any Person other than the Shipowner pursuant to any Operative Document shall be paid directly to such Person as provided in such Operative Document.

  • Unless and until this Charter is terminated pursuant to Section 11, this Charter shall nevertheless continue in effect for the duration of the Charter Term, and the Charterer will continue to pay Base Charter Hire and Supplemental Charter Hire without interruption or abatement and shall remain liable for all other obligations under this Charter, other than those obligations the performance of which cannot be performed by reason of such requisition of use.

  • The amount of such cure payments and the amount of all reasonable costs and expenses (including, without limitation, reasonable attorneys' and other professionals' fees and expenses) incurred in connection with such cure payments, together with interest thereon (to the extent permitted by applicable law) at the Overdue Rate, shall be deemed Supplemental Charter Hire payable by the Charterer upon demand.

  • Supplemental Resolution means any resolution or resolutions of the Trust amending, modifying or supplementing this Bond Resolution, authorizing the issuance of a Series of Refunding Bonds, or any other Supplemental Resolution adopted by the Trust pursuant to the provisions of this Bond Resolution.

  • Certificate of Amendment means the Certificate of Amendment to Amended and Restated Certificate of Incorporation of the Company, substantially in the form attached to this Agreement as Exhibit A.
