Sun Agreements definition
Sun Agreements means, individually and collectively, (a) the Exchange Agreement, dated October 23, 1999, by and among OpenTV, OpenTV Sub and SSI, (b) Shareholders’ Agreement, dated October 23, 1999, among the Seller, SSI and OpenTV and (c) the Amended and Restated Stockholders’ Agreement dated October 23, 1999 among OpenTV, OTV Holdings Limited, Sun Microsystems, Inc., SSI and OpenTV Sub.

All of the Shares are duly authorized, validly issued, fully paid and nonassessable and are free and clear of any Liens and are not subject to any Restrictions, including, without limitation, Restrictions relating to the Investors’ Rights Agreement, the Sun Agreements and any other Contract relating to the Shares to which any Seller Party is a party or pursuant to which any Seller Party has any rights or obligations.
