STAIRS Plan means the plan, as mutually agreed by Organon and Merck (or their respective Affiliates, as applicable), that details the transfer of Marketing Authorizations, the name change of the holder of the Marketing Authorizations, site name changes, legal entity name and address changes, and artwork changes in connection with the Separation.

  • In addition to the payment of any applicable Service Fee hereunder, any Expenses incurred with respect to the planning and execution, including the costs associated with artwork and any resulting Discards related to Organon Products, of the STAIRS Plan pursuant to the Regulatory Agreement shall be borne by Organon and Merck shall have the right to charge such Expenses to Organon (such Expenses as calculated in accordance with the principles set forth on Schedule 2).

  • Organon shall be financially responsible for any Expenses related to the STAIRS Plan for Organon Products.

  • As of the Distribution Date, the Parties shall have each established a transition management office team consisting of an appropriate number of representatives of each Party that will be responsible for monitoring and implementing the STAIRS Plan, coordinating and executing the exits of the IOM Markets and the Deferred Markets and coordinating the performance of the Parties’ obligations under this Agreement or any Transaction Document (each, a “TMO Team”).

Related to STAIRS Plan

  • Constructional Plan means all appliances or things of whatsoever nature required for the execution, completion or maintenance of the works or temporary works (as hereinafter defined) but does not include materials or other things intended to form or forming part of the permanent work.

  • Sectional Plan means the sectional plan approved or to be approved by the Surveyor-General and to be registered in the relevant deeds registry;
