  • Excluded Assets: (i) all assets owned solely by Manager, SSLII or SSLI, including, without limitation, all web sites, URLs, domain names, trade names, trademarks, service marks, logos and copyrights, (ii) all assets owned by tenants or licensees and (iii) all assets owned by Residents.

  • Notwithstanding the foregoing or anything contained herein to the contrary, (A) no assignment of this Agreement shall relieve Transferee of its obligations under this Agreement, (B) in no event shall Transferor be required to deliver the Certificate of Representations and Warranties to any entity in which SSLI or an Affiliate thereof owns any direct or indirect interest.
