Spin Agreements definition
Spin Agreements shall have the meaning set forth in Section 2.13(a).
Spin Agreements means (i) that certain Distribution Agreement dated as of November 1, 1995 by and among ITT Corporation, ITT Destinations, Inc., and ITT Hartford Group, Inc. and agreements related thereto; and (ii) that certain Distribution Agreement dated as of October 25, 2011 by and among ITT Corporation, Exelis Inc. and Xylem Inc. and agreements related thereto.
Spin Agreements means the agreements listed on Schedule 1.01(e).
Examples of Spin Agreements in a sentence
All such disclaimers do not limit or exclude any indemnity against specific items included in any of the Spin Agreements.
Each of the Parties acknowledges and agrees that ITT LLC will remain party to the Spin Agreements and will pass along the benefit of the Spin Agreements to Seller.
Such Pre-Merger Spin shall have been consummated pursuant to, and in accordance with, the Pre-Merger Spin Agreement(s) substantially in the form attached hereto as Exhibit 7.2.11(a), and no material term or condition of the Pre-Merger Spin Agreement(s) shall have been waived by any party thereto.
