Examples of S&P Material in a sentence

  • There is no material default under any SP Material Contract by SP or, to SP’s Knowledge, by any other party, and no event has occurred that with the lapse of time or the giving of notice or both would constitute a material default thereunder by SP, or to SP’s Knowledge, by any other party.

  • No event, development, circumstance or occurrence shall have occurred since the Execution Date that, individually or in the aggregate, has had an SP Material Adverse Effect.

  • No SP Contributed Company has granted any assignment, lease, license, sublease, easement, concession, option or other agreement granting to any Person the right to possess, use, control, or occupy the SP Real Property Interests or any portion thereof, except as would not, individually or in the aggregate, reasonably be expected to have an SP Material Adverse Effect.

  • Notwithstanding anything in this Agreement to the contrary, the inclusion of an item in either such disclosure schedule as an exception to a representation or warranty will not be deemed an admission that such item represents a material exception or material fact, event or circumstance or that such item has had or could reasonably be expected to have an FS Material Adverse Effect or an SP Material Adverse Effect, as the case may be.

  • From and after December 31, 2013, there has not been any event, circumstance, condition or change that, individually or in the aggregate, has had an SP Material Adverse Effect.

  • If required by the Licensee (by initialling against this Clause 2) S&P shall send the S&P Material to the Licensee E-Mail Address by way of an uneditable read only Adobe Acrobat PDF file within 7 (seven) days after the date hereof.

  • Each SP Contributed Company and, to the Knowledge of SunPower, each other Person, in each case, has complied with and is in compliance with the provisions of each SP Material Contract to which it is a party, except for such noncompliance as would not, individually or in the aggregate, reasonably be expected to have an SP Material Adverse Effect.

Related to S&P Material

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Evaluation Material shall have the meaning ascribed thereto in Section 6.3(a).

  • Licensed Material means radioactive material received, possessed, used, transferred or disposed of under a general or specific license issued by the Agency.
