Software Source definition

Software Source means the Source Code for the Software, including (a) the current, as of the Closing Date, present and pending releases of the Software, and (b) Source Code for all versions of the Software that have been provided to any Systat Customers or Systat Subdistributors at any time prior to the Closing Date where such Software is provided pursuant to a Systat Customer Contract or Systat Distribution Agreement, as applicable, or other Software maintenance contract with the applicable Systat Customer or Systat Subdistributor, in each case that is effective as of the Closing Date, including any partially completed releases and works in progress, and any supporting documentation and related technical information; and including any other operating system for the Software developed by or on behalf of the Systat Parties over the last three years.
Software Source means the Source Code for the Software, including (a) the current, as of the Closing Date, present and pending releases of the Software, and (b) Source Code for all versions of the Software that have been provided to any Systat Customers or Systat Subdistributors at any time prior to the Closing Date where such Software is provided pursuant to a Systat Customer

Examples of Software Source in a sentence

  • For the purpose of this Agreement, Contractor hereby grants Procuring Agency a full, complete and non-transferable right and license to utilize any and all of Contractor’s Related Pre-Owned IP for so long as Procuring Agency utilizes the Software, Source Code and other Deliverables.

  • The Licensee is strictly prohibited to make any other use of the Software Source Code.

  • Escrow Agent will be responsible for storing and safekeeping the Software Source Code magnetic media.

  • Contractor will replace the escrowed Software Source Code magnetic media at least every six (6) months to ensure readability and to preserve the Software at the then current revision level.

  • The Software Source Code may only be compiled and linked with products from IAR Systems, and only in accordance with the provisions on such use set out in the Documentation and/or this Agreement.

  • In the absence of a specific period, the duty of confidentiality for (a) RMSS Software, Source Code and related Documentation shall extend in perpetuity and (b) with respect to any other Proprietary Information shall extend for a period of (5) five years from disclosure.

  • In the event the Custom Software Source Code and/or associated technical Documentation in escrow is not accurate or complete, Contractor must promptly correct such inaccuracies or incomplete escrow, but in all cases within 10 Days.

  • Contractor will maintain, at Contractor’s sole expense, a copy of the Software Source Code to be kept by Escrow Agent and will identify Procuring Agency as an authorized recipient of the Software Source Code from Escrow Agent.

  • Developer shall store any copies of Software Source Code on computers and/or networks that are secured by controls employed by Developer for materials reasonably considered to be Trade Secrets or otherwise highly confidential.

Related to Software Source

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;
