Selected Customer definition

Selected Customer means a customer or potential customer with business or a location in Europe, Asia, the Middle East or Australia of any DST Entity product or service that pertains in any way to HiTrust, HiPortfolio, Anova, AWD (Automated Work Distributor), or business process management through AWD. You also agree that through June 30, 2014, you shall not directly or indirectly solicit or induce any employee of any DST Entity to leave employment with the DST Entity or otherwise communicate with any employee of any DST Entity regarding the possibility of leaving employment with the DST Entity. You acknowledge and agree that the eighteen (18) month time period for the restrictions set forth above in this Section 5 is fair and reasonable in view of: (1) the extent of your important client and vendor contacts; (2) the extent of your knowledge of trade secrets and other Confidential Information, especially financial and technological information; (3) the fact that the lump sum payment paid under Section 2 exceeds the Company’s separation pay obligations under the Employment Agreement; and (4) the fact that you agreed to broader non-compete and non-solicitation provisions in your Employment Agreement and Award Agreements and the Company wishes to accommodate you by releasing you from the non-compete obligation and narrowing the customer non-solicitation provisions to extend only to Selected Customers. You further acknowledge and agree that (a) the period of restriction in this Section 5 shall be tolled during any period of time during which you are not in compliance with the provisions of this Section 5, such that the aggregate duration of the restricted period shall be extended for a period of time equal to the aggregate period of time of any such non-compliance; and (b) the Company may do all necessary things, and take all necessary action, in Company’s discretion, to protect its rights under the Separation Agreement, including without limitation notifying any of your subsequent employers, partners or business associates of the existence of (and furnishing to any such person) the provisions of this Section 5. If the final judgment of a court or arbitrator with competent jurisdiction declares that any term or provision of this Section 5 is invalid or unenforceable, you agree that the court or arbitrator making the determination of invalidity or unenforceability will have the power to reduce the scope, duration, or geographic area of the applicable term or provision, to delete ...

To enjoy the preferential interest rate of this Offer, “Selected Customer” must submit the proof of specific occupation / qualification or income proof upon Personal Instalment Loan Services application. The Bank reserves the right to the final interpretation of the definitions of "Selected Customer" and "Specific Occupation Persons". Any customer other than the above "Selected Customer" will be classified as "General Customer".

• The Sellers will be entitled to the full amount of the Selected Customer CPP Amount for a Selected Customer provided that (A) the Actual Revenue from such Selected Customer is equal to at least 57.5% of the Forecasted Revenue for such Selected Customer and (B) such Selected Customer is an Active Customer.

• The Deferred Company Closing Bonus Amount shall be deducted from the first Selected Customer CPP Amount paid hereunder and, if necessary, subsequent Selected Customer CPP Amounts paid hereunder until the full Deferred Company Closing Bonus Amount has been deducted from Selected Customer CPP Amounts.

• For each Selected Customer, the IRO shall identify all contracts with Mallinckrodt, any non-contract pricing terms offered by Mallinckrodt to the Selected Customer, and all corresponding Selected BP NDCs. The IRO shall determine whether all contract prices and any non-contract pricing terms for each Selected BP NDC were appropriately considered for purposes of determining Best Price in accordance with Medicaid Drug Rebate Program Requirements.

• To the extent that Mallinckrodt made available multiple price concessions in connection with the sale of a Selected BP NDC to a Selected Customer, the IRO shall determine whether the price concessions were appropriately considered for purposes of determining Best Price.

• However, no Parent Selected Customers have canceled or terminated their relationship with Parent and its Subsidiaries or notified Parent or its Subsidiaries in writing of an intent to cancel or terminate its relationship or, to Parent’s Knowledge (without the requirement of inquiry to the Parent Selected Customer), intends to materially reduce its level of business with Parent and its Subsidiaries.
