section 76ATG statement means a dutiable statement lodged under section 76ATG in relation to which the Commissioner has not made a determination under
E-Statement means an electronic version of daily confirms, monthly, quarterly or annual statements, and shareholder tax statements created with investor transaction data housed on DST’s TA2000® mutual fund record keeping system, with images available online via a secure web site.
Operating Statement shall have the meaning given to such term in Section 10.5.
Closing Statement means the Closing Statement in the form on Annex A attached hereto.
Draft Closing Statement means a draft closing statement, prepared by Seller, as of the close of business of the third (3rd) business day preceding the Closing Date setting forth an estimated calculation of both the Purchase Price and the Estimated Payment Amount.
Objections Statement has the meaning set forth in Section 2.9(b).
Section 404 Report means management’s report on “internal control over financial reporting” as defined by the SEC and the related attestation report of the independent certified public accountant as described in Section 3(A)(1).
Post-Closing Statement has the meaning set forth in Section 3.3(c).
Billing Statement means the billing statement for your Account.
Filing Statement means this filing statement, together with all appendices attached hereto and including the summary hereof;
CMSA Operating Statement Analysis Report means a report substantially in the form of, and containing the information called for in, the downloadable form of the "Operating Statement Analysis Report" available as of the Closing Date on the CMSA Website or in such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage-backed securities transactions generally.
Operating Statement Analysis Report format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.
Accounting Statement means for each financial year, the following statements, namely-
Earn-Out Statement has the meaning set forth in Section 2.5(c).
Listing Statement means the listing statement of Purchaser pertaining to the Transaction and in the form prescribed by the CSE;
CREFC® Operating Statement Analysis Report The monthly report in the “Operating Statement Analysis Report” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.
Annual Statement means, with respect to any Insurance Subsidiary for any fiscal year, the annual financial statements of such Insurance Subsidiary as required to be filed with the Insurance Regulatory Authority of its jurisdiction of domicile and in accordance with the laws of such jurisdiction, together with all exhibits, schedules, certificates and actuarial opinions required to be filed or delivered therewith.
Auditor’s Report means the auditor’s report on the Financial Report; “AEDT” means Australian Eastern Daylight Time.
Final Closing Statement has the meaning set forth in Section 2.5(d).
Pre-Closing Statement has the meaning set forth in Section 2.4(a).
Estimated Closing Statement has the meaning set forth in Section 2.4(a).
Preliminary Closing Statement has the meaning specified in Section 2.3(a)(ii).
Payoff statement means a written statement furnished by the mortgage servicer which sets forth all of the following:
MERS Report The report from the MERS System listing MERS Designated Mortgage Loans and other information.
Final Statement means the statement defined in Sub-Clause 14.11 [Application for Final Payment Certificate].
Request regarding a statement of account means a record authenticated by a debtor requesting that the recipient approve or correct a statement indicating what the debtor believes to be the aggregate amount of unpaid obligations secured by collateral as of a specified date and reasonably identifying the transaction or relationship that is the subject of the request.
Offering Statement means the offering statement on Form 1-A (File No. [_________]) filed by the Company with the Commission on [_________], and the offering circular filed pursuant to Rule 253(g)(2) of the Securities Act on [_________], pursuant to which the Company has qualified for sale a maximum of $50,000,000 of its Common Shares under Regulation A of the Securities Act, as such offering statement may be amended or supplemented from time to time, or such other offering statements that the Company may qualify or register under the Securities Act from time to time.
