SDK ▇▇▇▇ and Software Development Kit ▇▇▇▇ definition

SDK ▇▇▇▇ and Software Development Kit ▇▇▇▇ means a Software Development Kit agreement between the licensee, its clients and or AHI. Standstill period refers to a mutually agreed duration during which one the company commits not to offer or sell the license within the jurisdiction, effectively pausing any such activities to maintain the status quo for the designated time frame. Sublicense refers to the right granted by the original licensee to a third party to use, or sell the licensed technology under the terms and conditions stipulated in the original license agreement. a Client and a Party which applies to its use or licence of the AHI Platform or the SCNT Platform (whether or not as part of a broader licence in relation to a Combined Application), the terms of which must be satisfactory to both Parties; or the Parties, which documents each Party’s rights and obligations in relation to the use of the other Party’s SDK.
SDK ▇▇▇▇ and Software Development Kit ▇▇▇▇ means a Software Development Kit agreement with a Client which applies to its use or licence of the MyFiziq Platform or the NuraLogix Platform (whether or not as part of a broader licence in relation to a Combined Application), the terms of which must be satisfactory to both Parties.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Development Tools means the development kits, programming tools, emulators and other materials that may be used in the development of Games under this Agreement.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Development Tool Kit means a DS Offering specifically designed for application or content development. A Development Tool Kit is either identified (i) with “CAA” or “ENOVIA Studio” in the DS Offering name, or (ii) in the Transaction Document and/or the Product Portfolio. Extended Enterprise User means an employee of Customer’s affiliate(s), supplier(s) and/or customer(s) authorized to use Customer’s DS Offering for the sole and exclusive purpose of enabling the Extended Enterprise User(s) to conduct business with Customer. The use of the DS Offering by any such Extended Enterprise User(s) 1) shall be solely limited to use (a) as configured and deployed by Customer and (b) in connection with the Extended Enterprise User’s performance of services for and on behalf of Customer, and 2) shall exclude any use by Extended Enterprise User (a) for its own account or a third party’s account, or (b) for the purpose of modifying, otherwise using, maintaining or hosting the DS Offering. Extended Enterprise Users are authorized if so specified in the Product Portfolio.

  • Software Products means the INSOURCE software products made available to the Licensee under the Agreement.
