Revance Know-How definition

Revance Know-How means any and all know how, information, data (including, without limitation, pre-clinical data, toxicology information and clinical trial data), documents, materials, and software (including, but not limited to, marketing information, technical information, regulatory information, clinical information, processes, procedures, methods, formulae, protocols, and techniques) relating to Product and which is useful and necessary for Fosun to obtain Regulatory Approval of the Product in the Territory, or otherwise import, Develop, use, sell, offer for sale, or Commercialize the Product in the Territory, but not including Revance Manufacturing Information, which exists as of the Effective Date or during the Term and is Controlled by Revance or its Affiliates.

Revance Know-How means any and all Know-How that is Controlled by Revance or any of its Affiliates as of the Effective Date or at any time during the Term and is necessary or useful to Exploit any Products in the Territory, including any enhancement, modification, derivative or improvement to the foregoing.

Examples of Revance Know-How in a sentence

  • As soon as reasonably practicable, but in no event later than thirty (30) days after the Effective Date, and at any time during the Term upon ▇▇▇▇▇▇▇’s request, Revance shall, at its sole cost and expense, disclose and deliver to Teoxane such Revance Know-How which is required to Commercialize the Products in the Field in the Territory.

  • Fosun shall not knowingly engage in any activities that use the inventions covered or claimed in the Revance Patents, or any Revance Know-How a manner that is outside the scope of the license rights expressly granted to it hereunder.

  • For the avoidance of doubt, Fosun shall return all Revance Know-How and Product-related IPR (assigned under Section 8.02), including but not limited to all clinical trial data and records, regulatory submissions and correspondence, and marketing and sales information, all to the extent related to the Product.

  • Notwithstanding the foregoing, Revance hereby expressly retains all rights to, and excludes from the license grant in Section 2.01, any Revance Know-How and Intellectual Property Rights, including the Revance Manufacturing Information, related to the Manufacture of the Product.

  • Except as expressly provided in this Agreement, Revance shall retain sole and exclusive Control of the Revance Technology, including Revance Know-How, Revance Patents, and Revance Trademarks.

  • Revance shall, at its sole cost and expense, provide Teoxane with all reasonably required assistance to enable Teoxane to understand and use such Revance Know-How and the Products, including providing to Teoxane personnel, Teoxane Key Opinion Leaders and aesthetics practitioners, as requested by ▇▇▇▇▇▇▇, in the Territory training in respect of the Products.

Related to Revance Know-How

  • Licensee Know-How means all Information that is: (a) Controlled by Licensee or its Affiliates as of the Effective Date or during the Term that is not publicly known, even though parts thereof may be known, and (b) necessary to develop, make, have made, use, sell, offer to sell, have sold, import or export the Product. “Licensee Know-How” does not include Licensee Patent Rights.

  • Manufacturing Know-How means all information, techniques, inventions, discoveries, improvements, practices, methods, knowledge, skill, experience and other technology, whether or not patentable or copyrightable, and any copyrights based thereon, relating to or necessary or useful for the production, purification, packaging, storage and transportation of Collaboration Products, including without limitation specifications, acceptance criteria, manufacturing batch records, standard operating procedures, engineering plans, installation, operation and process qualification protocols for equipment, validation records, master files submitted to the FDA, process validation reports, environmental monitoring processes, test data including pharmacological, toxicological and clinical test data, cost data and employee training materials.

  • Product Know-How means, as owned, licensed or controlled by Seller and exclusively related to the Product Business, including as developed in connection with the Clinical Trials, the research and development information, validation methods and procedures, unpatented inventions, know-how, trade secrets, technical or other data or information, or other materials, methods, procedures, processes, materials, developments or technology, including all biological, chemical, clinical, manufacturing and other information or data, other than such know-how which is or becomes the subject of a patent or of a provisional or filed patent application.

  • Program Know-How which means any and all Know-How that is created, conceived, discovered, first generated, invented, first made or first reduced to practice, in each case (i) by or on behalf of [***], (ii) by or on behalf of [***] or (iii) by or on behalf of [***], but expressly excluding any Joint Program Know-How.

  • Joint Know-How has the meaning set forth in Section 8.1.2.
