Retained Systems and Processes definition

Retained Systems and Processes means those systems and processes of Triad or an Eligible Recipient for which Supplier has not assumed responsibility under this Agreement (including those provided, managed, operated, supported and/or used on their behalf by Triad Third Party Contractors). Retained Systems and Processes include equipment and software associated with such systems and processes.

  • As part of the Services, Successful Respondent shall provide DIR (upon DIR's written request) with Services in relation to DIR’s Retained Systems and Processes, including: liaising with DIR or third parties regarding the impact of any alterations to DIR’s Retained Systems and Processes and vice versa.

  • Successful Respondent shall provide that the processes, Systems, Software, and Equipment used by Successful Respondent to provide the Services interface and integrate with DIR’s Retained Systems and Processes.

  • In addition, unless otherwise directed by DIR, Service Provider shall keep Software within release levels supported by the appropriate third party vendor to maintain compatibility with other Software or Equipment components of the Systems and of DIR's Retained Systems and Processes.

  • Service Provider shall provide that the processes, Systems, Software and Equipment used by Service Provider to provide the Services interface and integrate with the Retained Systems and Processes.

  • Retained Systems and Processes Means those systems and processes of DIR or a DIR Customer for which Service Provider has not assumed responsibility under the Agreement (including those provided, managed, operated, supported and/or used on their behalf by DIR Contractors).

Related to Retained Systems and Processes

  • Systems and Equipment means any plant (including any central plant), machinery, transformers, duct work, cable, wires, and other equipment, facilities, and systems designed to supply heat, ventilation, air conditioning and humidity or any other services or utilities, or comprising or serving as any component or portion of the electrical, gas, steam, plumbing, sprinkler, communications, alarm, lab, security, or fire/life safety systems or equipment, or any other mechanical, electrical, electronic, computer or other systems or equipment which serve the Building and/or any other building in the Project in whole or in part.

  • Customer Systems means the Customer's information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems) and networks, whether operated directly by Customer or through the use of third-party services.

  • Critical infrastructure means a communication infrastructure system, cybersecurity system, electric grid, hazardous waste treatment system, or water treatment facility.

  • Operating Software means those routines, whether or not identified as Program Products, that reside in the Equipment and are required for the Equipment to perform its intended function(s), and which interface the operator, other Contractor-supplied programs, and user programs to the Equipment.

  • System improvements means capital improvements to public facilities which are designed to provide service to a service area.
