  • Any payment of Reputation Protection Costs that We make under the cover will not:a) Be a determination of any other rights or obligations under this Policy;b) Create any duty to defend any Claim under any other part of this Policy; orc) Operate as a waiver of any right or defence We have with respect to the cover under the Policy.You must notify Us as soon as practicable of an Adverse Public Relations Event.

  • Coverage shall extend to Prosecution and Reputation Protection Costs up to the amount of the sub-limit set forth in Item 2.

  • The Company shall, prior to the final disposition of any Claim, advance Defence Costs, Legal Representation Expenses, Prosecution and Reputation Protection Costs or Crisis Expenses within thirty (30) days of receipt of an invoice for same.

  • Notwithstanding exclusion 4.A. (iv), coverage shall extend to Defence Costs, civil fines and penalties, Prosecution and Reputation Protection Costs or Crisis Expenses on account of any D&O Claim or Legal Representation Expenses in connection with an alleged violation or breach of an occupational health and safety law, including but not limited to, any workplace death, corporate manslaughter or industrial manslaughter law anywhere in the world.

  • Where we have paid a Claim, Defence Costs, Reputation Protection Costs or Legal Fees, Costs and Expenses on your behalf you will not be entitled a refund of any premium, this includes a Claim in the cooling off period of the Policy.

  • In such case We will be entitled to retain a pro-rata proportion of the Premium except in the event that we have paid a Claim, Defence Costs, Reputation Protection Costs or Legal Fees, Costs and Expenses on your behalf.

  • Coverage shall extend to Prosecution and Reputation Protection Costs up to the amount of the sub-limit set forth in Item 3.

  • Any advancement of Defence Costs, Legal Representation Expenses, Prosecution and Reputation Protection Costs or Crisis Expenses shall be repaid to the Company by the Insureds, severally according to their respective interests, if and to the extent it is determined that such Defence Costs, Legal Representation Expenses, Prosecution and Reputation Protection Costs or Crisis Expenses are not insured under this policy.

  • Any advancement of Defence Costs, Legal Representation Expenses, Prosecution and Reputation Protection Costs or Crisis Expenses shall be repaid to the Insurer by the Insureds, severally according to their respective interests, if and to the extent it is determined that such Defence Costs, Legal Representation Expenses, Prosecution and Reputation Protection Costs or Crisis Expenses are not insured under this Coverage Section.

  • Each Insured agrees not to settle, or convey any offer of settlement to any claimant with regard to, any Claim, incur any Defence Costs, Legal Representation Expenses, Prosecution and Reputation Protection Costs or Crisis Expenses or otherwise assume any contractual obligation or admit any liability with respect to any Claim without the Company’s prior written consent.

  • Accident and health insurance means contracts that incorporate morbidity risk and provide protection against economic loss resulting from accident, sickness, or medical conditions and as may be specified in the valuation manual.

  • Administration Costs means (i) the costs and expenses associated with the production and dissemination of the Notice (as defined in Section 2.10); (ii) all reasonable costs incurred by the Settlement Administrator (as defined in Section 1.40) in administering and effectuating this Settlement, which costs and expenses are necessitated by performance and implementation of this Agreement and any Court orders relating thereto; (iii) all reasonable fees charged by the Settlement Administrator; and (iv) any other costs associated with the settlement, including but not limited to any amounts charged by TIAA or Vanguard.
