Starting on the one hundred and eightieth (180th) day of this Agreement, for every calendar day after such date, penalty interest will accrue at a rate equal to 12% per annum, calculated based on any remaining amount required to be paid under this Agreement by the Purchaser to the Seller on such date but not actually paid by the Purchaser to the Seller on such date (which shall constitute the Remaining Payment).
