Except as specifically provided in this Agreement or in the Employee Lease Agreement, on the Closing Date, Holdings shall cause Relizon or one of its Subsidiaries to assume or retain responsibility under the Relizon Welfare Plans with respect to all amounts that are payable by reason of, or in connection with any and all welfare benefit claims made by the Affected Employees and their eligible dependents thereunder, but only to the extent such claims were incurred prior to the Closing Date.
