Regulation S Global Secured Note means one or more Global Secured Notes substantially in the form of Exhibit A hereto bearing the Global Secured Note Legend and the Private Placement Legend and deposited with or on behalf of, and registered in the name of, the Depositary or its nominee, which, in the aggregate, are equal to the outstanding principal amount of the Secured Notes initially sold by the Company in reliance on Rule 903 of Regulation S.

Regulation S Global Secured Note means a Regulation S Temporary Global Secured Note or Regulation S Permanent Global Secured Note, as applicable.

Upon the exchange of Temporary Regulation S Global Notes for permanent Regulation S Global Secured Notes, such Regulation S Global Secured Note will be deposited on behalf of the subscribers for such Notes with the Collateral Trustee as custodian for DTC and registered in the name of a nominee of DTC for the respective accounts of Euroclear and Clearstream.
