Capacity Region: One of four subsets of the Installed Capacity statewide markets comprised of: (1) Rest of State (i.e., Load Zones A through F); (2) Lower ▇▇▇▇▇▇ Valley (i.e., Load Zones G, H and I); (3) New York City (i.e., Load Zone J); and (4) Long Island (i.e., Zone K), except for Class Year Interconnection Facility Studies conducted prior to Class Year 2012, for which “Capacity Region” shall be defined as set forth in Section 25.7.3 of this Attachment S.
To enroll in the Region One ESC General Purchasing Cooperative, requires the approval of this Agreement by the Member’s governing body and by the Region One ESC Board of Directors.
If SBCL determines that ActaMed's operations relative to the Region One Sites and Region Two Sites fail to meet the Transfer Benchmarks to allow for the transfer of SCAN Assets located in Region Three, the provisions of Section 2.4 will apply.
The service of each Transferred Employee with SBCL or any of its Affiliates shall be counted for purposes of determining eligibility to participate or to vest in benefits under any compensation or benefit plan, program or arrangement now or hereafter maintained by ActaMed to the same extent that such service was credited or otherwise counted under any Benefit Plan in which such Transferred Employee was eligible to participate with SBCL immediately prior to the Region One Transfer Date.
For Region One, SBCL shall provide within thirty (30) days after the Region One Transfer Date the monthly Requisitions and Sites for January-December 1997.
The scope of this Agreement is limited to the purchase of goods and/or services, other than engineering or architectural services or construction services, governed by the contracts between Region One and vendors offering such services/goods.
Any written notice to the TEC shall be made by first class mail, postage prepaid and delivered to the Administrator for Business/Finance Services, Region One ESC, ▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇-▇▇▇▇.
Any programs, data or other materials furnished by Region One for use by Member in connection with the Services performed under this Agreement will remain Region One’s property, subject to any superseding licensing agreement or intellectual property rights of third parties.

SBCL shall have seven (7) days to respond to ActaMed's notice, indicating that SBCL either (i) will close the transfer on the scheduled Region Two Transfer Date or (ii) that ActaMed's operations relative to the Region One Sites fail to meet the Transfer Benchmarks.
