Qualified Support definition

Qualified Support means one or more of (i) a standby letter of credit in favor of Seller, in form and substance reasonably acceptable to Seller or (ii) an amount in cash, deposited by Buyer or any of its Affiliates in a third party escrow account in favor of Seller, that, in each case of the foregoing clauses (i) or (ii), are in an aggregate amount equal to the amount of the aggregate of any Contingent Consideration that may become due to Seller hereunder.
Qualified Support is defined in Section 2.2(a)(ii)(E).

  • The Qualified Support Employees or Technical Services Engineers performing Level 2 Support shall review all resources within reason including documentation, the BlueArc Knowledge Base and/or patch matrix before escalating a Problem to Level 3 Support.

  • Qualified Medical Child Support Order means a Medical Child Support Order which creates (including assignment of rights) or recognizes an Alternate Recipient's right to receive benefits to which a Participant or Qualified Beneficiary is eligible under this Plan, and has been determined by the Plan Administrator to meet the qualification requirements as outlined under “Procedures” of this provision.
