  • Put Option 2 may be exercised by RRZ if, without RRZ's prior written approval, nominal capital of the Company is sold by AboveNet to a third party or parties in a single transaction or a series of related transactions, and such third party(ies) does (do) not offer to purchase all of RRZ's shares in the Company on the same terms as shares are being purchased from other shareholders.

  • Further, Paragraph 6.3. of the Share Purchase Agreement provides that the transfer of any Put Option 2 Shares to DT from the HR shall require the entering into a separate written agreement, substantially in the form of the Share Purchase Agreement, with such adjustments as the Parties will deem necessary in view of the prevailing circumstances.

  • If the value of the Put Shares delivered to the Investor causes the Company to exceed the Maximum Commitment Amount, then the Investor shall return to the Company the surplus amount of Put Shares associated with such Option 1 Put, Option 2 Put or Option 3 Put, and such applicable purchase Price shall be reduced by any Clearing Costs related to the return of such Put Shares.

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.
