  • The foregoing executed Conveyance Documents for each Purchased Asset shall be delivered in escrow to, and held in escrow by, Hogax & Xartxxx X.X.P. until such Purchased Asset is conveyed to Purchaser hereunder (if ever), at which time, on such Purchased Asset's Closing Date, such documents shall be released to the parties and dated and delivered by the parties, all in accordance with the terms hereof.

  • Option Closing Purchase Price shall have the meaning ascribed to such term in Section 2.2(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Second Closing Date means the date of the Second Closing.
