PubCo Charter definition

PubCo Charter means the Amended and Restated Certificate of Incorporation of PubCo, as the same may be amended, restated, modified, supplemented or replaced from time to time.

PubCo Charter means the memorandum and articles of association of Pubco, as amended and in effect under the Cayman Companies Act.

PubCo Charter has the meaning specified in the recitals hereto.

• Advance shall have the committee designation rights set forth in paragraph (iii) of Part A of Article VI of the PubCo Charter.

More Definitions of PubCo Charter

PubCo Charter means the amended and restated memorandum and articles of association of PubCo, as amended from time to time;

PubCo Charter means the certificate of incorporation and the memorandum and articles of association of PubCo, dated as of April 12, 2021, as amended, modified or supplemented from time to time.

PubCo Charter means that certain Amended and Restated Certificate of Incorporation of Pubco. as filed in the office of the Secretary of State of the State of Delaware on July 2, 2021, as amended.

PubCo Charter means the Company’s amended and restated certificate of incorporation to be filed and effective in connection with the consummation of the Public Offering, as may be amended from time to time.

PubCo Charter means the memorandum and articles of association of Pubco, as amended and in effect under the BVI Act.

PubCo Charter means the Memorandum of Association of PubCo, to be adopted by PubCo pursuant to the Business Combination Agreement as of the Acquisition Merger Closing.

PubCo Charter means the articles of association of PubCo as included in the Luxembourg Merger Documents, to be effective from the Initial Merger Effective Time.
