Prudential Documents definition

Prudential Documents means this Agreement, the Notes, the Guaranty Agreement, each Joinder Agreement and any and all agreements or instruments now or hereafter executed and delivered by the Company, any Guarantor or any other person guaranteeing, securing or otherwise supporting payment or performance of the Notes, this Agreement or any other Prudential Document, as they may be modified or amended from time to time in accordance with the terms and provision thereof.
Prudential Documents collectively, (a) the Note Purchase Agreement dated June 19, 1989 between the BetzDearborn Inc. Stock Ownership and 401(k) Trust (the "ESOT"), BetzDearborn and the Prudential Insurance Company of America, as amended by a First Amendment thereto dated June 25, 1996, as further amended by a Second Amendment thereto dated June 25, 1998, as supplemented and amended by a Consent and Waiver and Assumption, dated October 15, 1998, and as amended by the Third Amendment and Assumption Agreement, dated December 31, 1998 (as may be further amended, modified or supplemented from time to time, the "Note Purchase Agreement"), (b) the notes issued by the ESOT pursuant to the Note Purchase Agreement in the original principal amount of $100,000,000 (the "ESOT Notes"), and (c) all other related agreements and documents issued, delivered or executed thereunder or pursuant thereto (in each case, as the same may be amended, modified, restated, supplemented, extended, renewed or replaced from time to time).
Prudential Documents means that certain Note Agreement dated as of September 26, 1989, executed by and between the Debtor and Prudential, the notes evidencing the loans under such Note Agreement, and any and all documents and instruments related thereto, all as amended or supplemented.

Related to Prudential Documents

  • Material Documents has the meaning set forth in Section 5.23.

  • Environmental Documents means, for any Person: (A) any and all documents received by the Person or its Subsidiaries from the United States Environmental Protection Agency (“EPA”) or any other Governmental Entity concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property; (B) any and all documents submitted by the Person or any Subsidiary of the Person during the past five years to the EPA or any state, county or municipal environmental or health agency concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property, and (C) any report, study, assessment, audit, or other similar document that addresses any issue of actual or potential noncompliance with, actual or potential liability under or cost arising out of, or actual or potential impact on business in connection with, any Environmental Law or any proposed or anticipated change in or addition to Environmental Law, that may in any way affect the Person or any entity for which it may be liable or any Subsidiary of the Person.

  • Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Company Organizational Documents means the certificate of incorporation and bylaws (or the equivalent organizational documents) of the Company and its Subsidiaries as in effect on the date of this Agreement.
