If Delta elects to consummate the transaction involving the Offered Property, Operator and Delta shall consummate the transaction contemplated in the Offer Notice as soon as reasonably practicable but no later than sixty (60) days after any and all governmental approvals required for such transaction have been obtained (Delta and Operator agree to use their commercially reasonable efforts to obtain such approvals as soon as practicable).
Each Loan Party and each Property Operator shall have obtained all consents, approvals and authorizations required from any Governmental Authority in connection with execution, delivery and performance of their respective obligations under this Agreement and the other Transaction Documents.

In the event that Lessee commences site preparation and construction of condominiums on the Real Property, Operator agrees to make available sufficient unused office space in the Carriage House building to accommodate Lessee’s construction management and administration requirements.
With respect to any Taxes which may constitute a lien on the Owner’s Property, Operator shall promptly pay such Taxes unless the proceeding in which it contests such Taxes shall operate to prevent or stay the collection of the Taxes so contested or unless Operator removes any such lien by bonding or otherwise.
