ProFrac PubCo means ProFrac Holding Corp., a Delaware corporation.
PubCo has the meaning set forth in the Preamble.
Merger Subs has the meaning set forth in the Preamble.
Subco means 1102209 B.C. LTD., a corporation incorporated under the laws of the Province of British Columbia;
Acquiror has the meaning specified in the Preamble hereto.
SBS means the New York City Department of Small Business Services.
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Buyer Parent has the meaning set forth in the Preamble.
EUMA means the “SAP Delivered Support Agreement” which sets out the terms and conditions under which SAP provides support to End Users and which will be provided by SAP on a deal by deal basis.
RFB means this Request for Bids and any addenda hereto.
Acquireco means 2620756 Ontario Inc., a wholly-owned subsidiary of the Corporation incorporated under the OBCA for the purpose of carrying out the Amalgamation.
Contributors means any organization(s), entity(ies) and/or individual(s) providing technology and/or patent rights related to the ATCC Material, or original material to ATCC for deposit.
Seller Parent has the meaning set forth in the Preamble.
Company Shareholders means holders of Company Shares.
Seller Entities means, collectively, Seller and all Seller Subsidiaries.
CMBI means Chase Manhattan Bank International, an indirect wholly-owned subsidiary of Bank, located in Moscow, Russia, and any nominee companies appointed by it.
Merger Sub 2 shall have the meaning given in the Recitals hereto.
Acquirer means a business organization, financial institution, or an agent of a business organization or financial institution that has authority from an organization that operates or licenses a credit card system to authorize merchants to accept, transmit, or process payment by credit card through the credit card system for money, goods or services, or anything else of value.
