Product Lots definition

Product Lots has the meaning set forth in Section 5.4 (Product Supply).

Product Lots means any existing quantities of (a) CardioGenics Beads (naked or encapsulated by CardioGenics); (b) CardioGenics Beads encapsulated by any third party beads manufacturer or distributor pursuant to any Beads Agreements); (c) Third Party Beads incorporating CardioGenics’ Beads Technology pursuant to any Beads Agreements; and (d) any other CardioGenics Beads not intended for use in the CardioGenics POC Platform.

Examples of Product Lots in a sentence

  • Such Product Lots shall be delivered EXW (Ex Works) (Incoterms 2010) AMGEN, Thousand Oaks, California.

  • Except for the Licensed Materials and such Product Lots to be transferred to AKERO, AKERO shall be responsible for, and shall bear the cost of, obtaining (whether by manufacturing or causing to be manufactured) research, clinical and commercial supplies of the Product.

  • AKERO is responsible for the payment of any state or local, sales or use, or similar fees or taxes arising as a result of the transfer of Licensed Materials by AMGEN to AKERO pursuant to Section 2.3 (Transfer of Licensed Know-How and Licensed Materials) and Product Lots pursuant to Section 5.4, and AKERO will remit such fees or taxes to AMGEN, as the collection agent, upon invoice.

  • Any experimentation or development holds done on Product Lots by Customer without prior authorized by Novati will be subject, at Novati’s sole discretion, to conversion to development status with the consequences noted above.

  • From and after the Effective Date, AKERO shall be responsible for all costs and expenses in connection with the storage of, and any stability studies performed on, the Product Lots.

  • Customer may not plan nor execute experiments, nor development holds on Product Lots started on the Production Line.

  • Licensed Materials listed on the Licensed Materials Schedule and such Product Lots delivered to Company, Company shall be responsible for, and shall bear the cost of, obtaining (whether by manufacturing or causing to be manufactured) research, clinical and commercial supplies of the Product.

  • Company is responsible for the payment of any state or local, sales or use, or similar fees or taxes arising as a result of the transfer of Licensed Materials by Amgen to Company pursuant to Section 2.4 (Transfer of Licensed Know-How and Licensed Materials) or the Product Lots pursuant to the Supply Agreement, and Company shall remit such fees or taxes to Amgen, as the collection agent, upon invoice.

  • Subject to the terms of this Section 5.4 and Section 6.2 (Additional AMGEN Warranties), AMGEN transfers the Product Lots to AKERO “as is”, and makes no other representation to AKERO in connection therewith.

  • Company shall pay to Amgen, within [*] after receipt of the two (2) Product Lots delivered pursuant to Section 5.4 (Product Supply), each of which shall meet the quality requirements for such Product Lots set forth in the Quality Agreement, a non-refundable, non-creditable inventory payment of [*] (it being agreed and understood by the Parties that no such inventory payment shall be due and payable if Amgen fails to deliver both Product Lots as contemplated hereunder).

Related to Product Lots

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Product Labeling means, with respect to a particular pharmaceutical product and a particular country, (a) the full prescribing information for the product approved by the applicable Regulatory Authorities in such country, including any required patient information; and (b) all labels and other written, printed or graphic matter physically upon a container, wrapper or any package insert utilized with or for the product in such country.

  • Product Inventory means all inventory owned as of the Closing by Seller or any Affiliate thereof of finished Product that is in conformance with the Specifications and has an expiration date of October 1, 2016 or later, regardless of whether such inventory is held at a location or facility of Seller or any Affiliate (or of any other Person on behalf of Seller or any Affiliate, including in any of Seller’s warehouses, manufacturers, suppliers, distributors or consignees) or in transit to or from Seller or any Affiliate (or any such other Person).

  • Tobacco product manufacturer means an entity that after the date of enactment of this act directly (and not exclusively through any affiliate):

  • Cannabis products means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.
