Pro Forma Unaudited Balance Sheet definition

Pro Forma Unaudited Balance Sheet means the pro forma unaudited consolidated balance sheet of OFS ES and the Subsidiaries reflecting the Purchased Assets and the Assumed Liabilities as of the Pro Forma Unaudited Balance Sheet Date, in the form included in Section 3.15(a) of the Disclosure Schedule and prepared in accordance with GAAP, except as provided therein.
